Contest Terms and Conditions
NO PURCHASE NECESSARY TO ENTER OR TO WIN. A PURCHASE WILL NOT IMRPOVE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED. OPEN ONLY TO LEGAL RESIDENTS OF THE UNITED STATES WHO ARE AT LEAST EIGHTEEN (18) YEARS OF AGE AT THE TIME OF ENTRY.
1. Defined Terms
“Campaign” – refers to the MENU HACK/BEHIND THE SCENES contest.
“Rules” – refers to these Contest Terms and Conditions
“Prize” – refers to $100 Visa Gift Card.
“Entrant” – refers to individuals who choose to participate in the Campaign by completing the entry steps as described in Section 5 of these Contest Terms and Conditions and who agree to be bound by these Sweepstakes Terms and Conditions.
“Winner” or “The Winners” – refers to ten (10) total Entrants selected pursuant to Section 9 of these Contest Terms and Conditions. Five (5) Winners will be selected from the East and five (5) Winners will be selected from the West.
2. Eligibility: This Campaign is open only to those who complete the entry steps outlined in Section 5 below as of the date of entry. NO PURCHASE NECESSARY TO ENTER OR TO WIN. A PURCHASE WILL NOT IMRPOVE YOUR CHANCES OF WINNING. The Campaign is only open to legal residents of the United States who are eighteen (18) years and older at the time of entry and is void where prohibited by law. The Campaign is subject to all applicable federal, state, and local laws and regulations.
3. Agreement to Rules: By submitting an entry pursuant to Section 5, the Entrant (“You”) agrees to be fully and unconditionally bound by these Rules, and You represent and warrant that You meet the eligibility requirements. In addition, You agree to accept the decisions of Gosh Enterprises, Inc. as final and binding as it relates to the content and outcome of this Campaign.
4. Campaign Period: Entries will be accepted starting at 12:01am EST on July 15, 2023, and ending 11:59pm EST on August 15, 2023. All entry steps outlined in The Post and Section 5 below must be completed by 11:59pm EST on August 15, 2023. Late entries will not be accepted.
5. How to Enter: To qualify as an Entrant, You must by complete the steps outlined below:
- Upload your video featuring your favorite menu hacks or behind-the-scenes orders to (https://app.smartsheet.com/b/form/721994492f13416abd3c2c6bbea065ae).
- Videos must be less than 30 seconds.
- All videos must adhere to cleanliness and food preparation guidelines for your stores, and adhere to Charleys brand guidelines.
- Keep it “safe for work,” no swearing or inappropriate language/behavior.
- Due to licensing issues, videos should feature NO music or feature royalty-free music.
- Please obtain consent from anyone featured in the video – do not film guests.
- Please DO NOT post your video without receiving permission from Charleys!
6. Prizes: The Winners of the Campaign (the “Winners”) will each receive a $100 Visa Gift Card. Any and all prize-related expenses, including without limitation any and all federal, state, and/or local taxes, shall be the sole responsibility of The Winner(s). No substitution of prize or transfer/assignment of prize to others or request for the cash equivalent by Winner is permitted.
7. Name, Image, and Likeness. Entry into the contest pursuant to Section of constitutes permission for Gosh Enterprises, Inc. to use Winner’s name, likeness, and entry for purposes of advertising and trade without further compensation unless prohibited by law.[Intentionally Deleted]
8. Winner Selection and Notification: Ten (10) total Entrants will be selected as The Winners. The Winners will be selected under the supervision of Gosh Enterprises, Inc. The Winners will be notified by September 15, 2023 via a phone call to the phone number provided by the Winner on the submission. Phone calls to Winners may be made between 9am to 5pm EST Monday through Friday. If the Winner is not reached via phone call a message will be left on the Winner’s voicemail.
Gosh Enterprises, Inc. shall have no liability for the failure by Winner(s) to receive notices due to spam, junk email, or other security settings or for the Winners’ provision of incorrect or otherwise non-functioning contact information. If Winner cannot be contacted, is ineligible, fails to claim the prize within five (5) days from the time award notification was sent, or fails to timely return a completed and executed WINNER’S DECLARATION AND RELEASE AGREEMENT as required, the prize may be forfeited and an alternate Winner selected. Receipt by Winner of the prize offered in this Campaign is conditioned upon compliance with any and all federal, state, and local laws and regulations. ANY VIOLATION OF THESE OFFICIAL RULES BY WINNER (AT GOSH ENTERPRISES, INC.’S SOLE DISCRETION) WILL RESULT IN WINNER’S DISQUALIFICATION AS WINNER OF THE CAMPAIGN, AND ALL PRIVILEGES AS WINNER WILL BE IMMEDIATELY TERMINATED.
9. Additional Terms & Conditions: Gosh Enterprises, Inc. reserves the right, in their sole discretion, to cancel, terminate, modify or suspend the Campaign should virus, bug, non-authorized human intervention, fraud, or other cause beyond either company’s control corrupt or affect the administration, security, fairness, or proper conduct of the Campaign. In such case, Gosh Enterprises, Inc. may select the Winners from all eligible entries received prior to and/or after (if appropriate) the action taken by Gosh Enterprises, Inc. Gosh Enterprises, Inc. reserves the right, in their sole discretion, to disqualify any individual who tampers or attempts to tamper with the entry process or the operation of the Campaign or violates these the Rules. Gosh Enterprises, Inc. has the right, in their sole discretion, to maintain the integrity of the Campaign, to void entries for any reason. Any attempt by an entrant to deliberately damage any website or undermine the legitimate operation of the Campaign may be a violation of criminal and civil laws. Should such an attempt be made, Gosh Enterprises, Inc. reserves the right to seek damages to the fullest extent permitted by law.
10. License. By submitting a video or image to the Contest pursuant to Section 5, you hereby grant Gosh Enterprises, Inc. and its affiliated companies a worldwide, royalty-free, non-exclusive, transferable license to use, reproduce, distribute, publicly display, modify, and create derivative works of the Submission for any and all purposes, including but not limited to, posting on Sponsor’s official social media accounts, without further compensation to you.
You represent and warrant that you have all necessary rights, permissions, and consents to grant the license set forth herein. You further acknowledge and agree that Gosh Enterprises, Inc. shall have no obligation to utilize or exploit the Submission, and Gosh Enterprises, Inc. use of the Submission is at its sole discretion.
You understand and agree that Gosh Enterprises, Inc. may, in its sole discretion, edit or modify the Submission for any purpose, and you waive any right to inspect or approve any such modifications or uses. Additionally, you release and discharge Gosh Enterprises, Inc., its agents, employees, and affiliates from any and all claims, demands, or causes of action arising out of or in connection with the use of the Submission, including any claims for defamation, invasion of privacy, or infringement of moral rights.
You acknowledge that [Gosh Enterprises, Inc. may attribute your name or username to the Submission if it is used, but Gosh Enterprises, Inc. is under no obligation to do so. Furthermore, you agree that the license granted herein shall survive the termination or expiration of the Contest or these terms and conditions.
11. Limitation of Liability: By entering, You agree to release and hold harmless Gosh Enterprises, Inc. Facebook/Instagram, Twitter, TikTok and each of their parent companies, subsidiaries, affiliates, advertising and promotion agencies, partners, representatives, agents, successors, assigns, employees, officers, and directors from any liability, illness, injury, death, loss, litigation, claim, or damage that may occur, directly or indirectly, whether caused by negligence or not, from: (i) such Entrant’s participation in the Campaign and/or his/her acceptance, possession, use, or misuse of any prize or any portion thereof; (ii) technical failures of any kind, including but not limited to the malfunction of any computer, cable, network, hardware, or software, or other mechanical equipment; (iii) the unavailability or inaccessibility of any transmissions, telephone, or Internet service; (iv) unauthorized human intervention in any part of the entry process or the Promotion; (v) electronic or human error in the administration of the Promotion or the processing of entries.
12. Disputes: THIS CAMPAIGN IS GOVERNED BY THE LAWS OF THE UNITED STATES AND THE STATE OF OHIO, WITHOUT RESPECT TO CONFLICT OF LAW DOCTRINES. As a condition of participating in this Campaign, participant agrees that any and all disputes that cannot be resolved between the parties, and causes of action arising out of or connected with this Campaign, shall be resolved individually, without resort to any form of class action, exclusively before a court located in the State of Ohio having jurisdiction. Further, in any such dispute, under no circumstances shall participant be permitted to obtain awards for, and hereby waives all rights to any damages or awards whatsoever, including compensatory, punitive, incidental, or consequential damages, including reasonable attorney’s fees. Participant further waives all rights to have damages multiplied or increased.

14. Winners List: To obtain a copy of the Winner’s name or a copy of these Official Rules, email your request to: feedback@charleys.com. Requests must be received no later than January 31, 2023.

16. Miscellaneous. The Campaign hosted by Gosh Enterprises, Inc. is in no way sponsored, endorsed, administered by, or associated with Facebook/Instagram or Twitter, TikTok their parent or subsidiary companies, affiliates, directors, officers, employees, and agents.
